1. INTRODUCTION

Welcome to MyWebSpace (“Company”, “we”, “our”, or “us”).

These Terms and Conditions (“Terms”) govern your access to and use of the MyWebSpace platform, website, Business Operating System (“Business OS”), MaxMedia Content Operating System (“MaxMedia”), software applications, AI-powered tools, automation services, digital products, websites, dashboards, customer portals, mobile applications, APIs, integrations, consulting services, and any future products or services offered by MyWebSpace.

By accessing, browsing, registering with, purchasing from, or using any part of our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree with these Terms, you must immediately discontinue use of our Services.

These Terms apply to all users, visitors, clients, subscribers, organizations, institutions, businesses, schools, clinics, retail establishments, consultants, agencies, and any other entities using our Services.

“Services” means all current and future products, software, subscriptions, consulting, automation solutions, websites, dashboards, applications, integrations, APIs, AI models, content systems, and digital offerings provided by MyWebSpace.

“User”, “Client”, “Customer”, or “You” refers to any individual, organization, company, institution, government body, school, clinic, retailer, manufacturer, consultant, or other entity accessing or using our Services.

“Platform” means the complete MyWebSpace ecosystem, including Business OS, MaxMedia, websites, dashboards, applications, and related technologies.

“Content” includes text, images, videos, audio, documents, spreadsheets, reports, prompts, templates, graphics, logos, AI-generated outputs, uploaded files, and any other information processed through the Platform.

“AI Output” means any text, image, video, report, recommendation, workflow, automation result, code, or other content generated or assisted by artificial intelligence through our Services.

“Third-Party Services” means software, APIs, platforms, payment gateways, cloud providers, communication services, AI providers, or external applications that integrate with or support our Services.


3. ACCEPTANCE OF TERMS

By using any MyWebSpace Service, you represent and warrant that:

  • You have the legal capacity to enter into a binding agreement.
  • The information you provide is accurate and complete.
  • You will comply with these Terms and all applicable laws.
  • If you are acting on behalf of a company or organization, you have authority to bind that entity to these Terms.
  • You understand that certain Services rely on artificial intelligence and automation technologies that may require human verification.

Continued use of the Services after any modification to these Terms constitutes your acceptance of the revised Terms.


4. ELIGIBILITY

To use our Services:

  • You must be legally capable of entering into a binding contract under applicable law.
  • If using the Services on behalf of an organization, you must have authorization to act on its behalf.
  • You must not be prohibited by applicable law from receiving our Services.
  • You agree not to impersonate another individual or organization.

We reserve the right to refuse service, suspend access, or terminate accounts where eligibility requirements are not met or where misuse is suspected.


5. ABOUT MYWEBSPACE

MyWebSpace is an AI-powered Business Operating System company that designs and delivers intelligent automation solutions for organizations.

Our platform combines AI technologies, workflow automation, business dashboards, content systems, reporting tools, and future AI capabilities to help organizations streamline operations and improve productivity.

Business OS serves as the operational intelligence layer for managing business processes, while MaxMedia functions as the integrated AI Content Operating System for creating, transforming, and publishing digital content.

From time to time, MyWebSpace may introduce additional products, modules, integrations, or services. Unless expressly stated otherwise, such offerings will also be governed by these Terms.


6. SCOPE OF SERVICES

The Services provided by MyWebSpace may include, but are not limited to:

  • AI-powered business automation.
  • Workflow automation.
  • Business Operating Systems.
  • Industry-specific AI solutions.
  • AI dashboards.
  • Reporting systems.
  • Content automation.
  • Video editing automation.
  • Content repurposing.

  • AI chat assistants.
  • AI document generation.
  • AI image generation.
  • AI video generation.
  • AI voice technologies.
  • OCR and document processing.
  • Cloud-based business applications.
  • Training and onboarding.
  • Consulting and implementation.
  • Software maintenance and support.
  • APIs and third-party integrations.
  • Future software modules introduced by MyWebSpace.

The exact scope of Services provided to any Client shall depend upon the proposal, quotation, subscription plan, service agreement, or order accepted by both parties.

7. BUSINESS OPERATING SYSTEM (BUSINESS OS)

7.1 Overview

Business OS is the flagship AI-powered Business Operating System developed and operated by MyWebSpace. It is designed to help organizations automate routine operations, centralize business information, improve decision-making, and enhance operational efficiency through intelligent workflows and automation.

Business OS is intended to serve as a unified operational platform rather than a standalone software application. It may include multiple modules, dashboards, integrations, and AI-powered capabilities that evolve over time.

7.2 Features

Depending on the subscription plan, project scope, or custom implementation, Business OS may include features such as:

7.3 Continuous Improvement

Business OS is an evolving platform.

MyWebSpace may add, improve, modify, replace, suspend, or discontinue any feature, module, interface, workflow, or functionality at its sole discretion in order to improve performance, security, compliance, or user experience.

Such modifications shall not constitute a breach of these Terms.

7.4 Custom Implementations

Certain Business OS deployments may be customized to suit the operational requirements of individual businesses, schools, clinics, retailers, manufacturers, consultants, or other organizations.

Custom implementations may include:

  • Custom dashboards
  • AI workflows
  • Department-specific automation
  • Reports
  • Approval systems
  • Industry-specific features
  • Data structures
  • Integrations
  • Custom AI assistants

Customizations developed specifically for a Client shall be governed by the applicable proposal, quotation, agreement, or Statement of Work.


8. MAXMEDIA CONTENT OPERATING SYSTEM

8.1 Overview

MaxMedia is the integrated AI-powered Content Operating System within the MyWebSpace ecosystem.

MaxMedia enables organizations, creators, educators, businesses, marketing teams, and professionals to automate the creation, transformation, optimization, scheduling, management, and publishing of digital content across multiple platforms.

MaxMedia is not a separate company or independent platform. It operates as an integrated module of MyWebSpace and is governed by these Terms.

8.2 Services

MaxMedia may include:

  • AI video editing
  • AI video enhancement
  • Automatic subtitles
  • Content repurposing
  • Blog generation
  • Social media content generation
  • AI image generation
  • AI thumbnail creation
  • Caption generation
  • Script generation
  • Multi-platform publishing
  • Content scheduling
  • Brand asset management
  • AI voice generation
  • AI translations
  • Content optimization
  • Performance analytics
  • Future content automation features

Availability of individual features depends upon the selected plan and service agreement.

8.3 User Responsibility

Users are solely responsible for ensuring that content processed through MaxMedia:

  • Belongs to them;
  • Is used with proper authorization;
  • Does not infringe copyrights;
  • Does not violate trademarks;
  • Does not violate privacy rights;
  • Does not violate applicable laws.

MyWebSpace shall not be responsible for any copyright disputes arising from user-submitted content.

8.4 AI Assistance

MaxMedia utilizes artificial intelligence to assist with editing, recommendations, automation, and content generation.

AI-generated outputs may occasionally contain inaccuracies, omissions, or unintended results. Users should review all generated content before publication or commercial use.


9. AI AUTOMATION SERVICES

9.1 General

MyWebSpace provides AI-powered automation solutions intended to improve operational efficiency.

Automation services may include:

  • Process automation

  • Reporting

9.2 No Guaranteed Outcomes

  • Increased revenue;
  • Business growth;
  • Cost savings;
  • Customer acquisition;

  • Social media engagement;
  • Viral content;
  • Regulatory compliance.

Business performance depends upon numerous factors beyond our control.

9.3 Human Oversight

Clients acknowledge that AI systems should not replace appropriate human judgment.

Users remain responsible for reviewing AI-generated recommendations, reports, documents, content, calculations, communications, and decisions before relying upon them.

MyWebSpace continually develops new technologies and reserves the right to introduce additional products, software, modules, AI agents, mobile applications, cloud services, APIs, dashboards, enterprise solutions, educational platforms, automation systems, and other digital offerings.

Unless expressly stated otherwise, all future products and services offered by MyWebSpace shall automatically be governed by these Terms and Conditions.


PART III – USER RESPONSIBILITIES

11. USER ACCOUNTS

11.1 Registration

Certain Services may require users to create an account.

Users agree to provide complete, accurate, and up-to-date information during registration and to keep such information current.

11.2 Account Security

Users are responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their accounts.

Users must immediately notify MyWebSpace of any unauthorized access or suspected security breach.

11.3 Authorized Users

Organizations may authorize employees, consultants, contractors, or representatives to access Business OS or MaxMedia on their behalf.

The organization remains responsible for the actions of all authorized users.

11.4 Account Suspension

MyWebSpace reserves the right to suspend, restrict, or terminate any account where it reasonably believes that:

  • false information has been provided;
  • security has been compromised;
  • the Services are being misused;
  • illegal activities are suspected;
  • these Terms have been violated.

12. CLIENT RESPONSIBILITIES

12.1 Accurate Information

Clients agree to provide complete, accurate, and up-to-date information necessary for MyWebSpace to provide the Services effectively. This includes business details, contact information, project requirements, workflows, documents, credentials (where required), and any other relevant information.

MyWebSpace shall not be responsible for delays, errors, or incomplete outcomes resulting from inaccurate, outdated, or incomplete information provided by the Client.


12.2 Cooperation

Clients agree to cooperate throughout the project or subscription period by:

  • Providing requested information within a reasonable time.
  • Reviewing deliverables promptly.
  • Providing approvals or feedback when requested.
  • Designating an authorized representative for communication.
  • Informing MyWebSpace of any material changes affecting the project.

Failure to cooperate may delay delivery schedules, increase project costs, or affect the quality of Services.


12.3 Client Decisions

Business decisions remain solely the responsibility of the Client.

Although Business OS and MaxMedia may generate recommendations, reports, insights, forecasts, or automated suggestions, the Client is solely responsible for evaluating and implementing such recommendations.


12.4 User Credentials

Where implementation requires access to third-party platforms, the Client agrees to provide only the minimum necessary permissions.

Clients remain responsible for safeguarding administrative credentials and should revoke access when Services are completed if no longer required.


12.5 Legal Compliance

Clients are responsible for ensuring that their business operations, uploaded data, marketing activities, and use of the Services comply with all applicable laws and regulations in their jurisdiction.


13. ACCEPTABLE USE POLICY

Users agree to use MyWebSpace Services only for lawful, ethical, and legitimate business purposes.

Permitted uses include:

  • Business process automation
  • Educational administration
  • Healthcare administration (subject to applicable laws)
  • Retail operations
  • Manufacturing management
  • Financial workflow management
  • Internal reporting
  • Content creation
  • Marketing automation
  • Business communication
  • Team collaboration

Users shall use the Platform responsibly and in accordance with these Terms.


14. PROHIBITED ACTIVITIES

Users shall not use MyWebSpace or any of its Services to:

  • Facilitate money laundering.
  • Engage in identity theft.
  • Conduct illegal financial activities.

14.2 Security Violations

Users shall not:

  • Attempt unauthorized access.

  • Probe or test system vulnerabilities.
  • Introduce malware, viruses, worms, ransomware, or harmful code.
  • Interfere with platform operations.

14.3 Intellectual Property Violations

Users shall not upload or distribute content that:

  • Infringes copyrights.
  • Violates trademarks.
  • Misappropriates trade secrets.
  • Violates licensing agreements.
  • Uses copyrighted material without authorization.

14.4 Harmful Content

Users shall not use the Services to generate or distribute:

  • Threatening communications.
  • Obscene material.
  • Child exploitation material.
  • Terrorism-related content.
  • Violent extremist content.
  • Malware.

14.5 AI Misuse

Users shall not use Business OS or MaxMedia to:

  • Generate deceptive content.
  • Create fake identities for fraud.
  • Impersonate individuals without authorization.
  • Produce deepfakes intended to deceive or harm.
  • Manipulate public opinion through unlawful means.
  • Violate election laws.
  • Automate abusive behavior.
  • Bypass platform safeguards.

14.6 Platform Abuse

Users shall not:

  • Reverse engineer the Platform except where expressly permitted by applicable law.
  • Resell Services without authorization.
  • Create competing products using proprietary components.
  • Remove proprietary notices.
  • Copy software architecture.
  • Scrape platform data.
  • Use automated bots that negatively impact service availability.

15. USER CONTENT

15.1 Ownership

Users retain ownership of the content they upload to MyWebSpace.

Such content may include:

  • Documents
  • Images
  • Videos
  • Logos
  • Databases
  • Marketing materials
  • Business records
  • Training documents
  • Audio
  • Other digital assets

15.2 License to MyWebSpace

By uploading content, Users grant MyWebSpace a limited, non-exclusive, revocable license to process, store, analyze, modify (where required), transmit, and use such content solely for the purpose of providing the requested Services.

This license automatically terminates when the Services end, subject to legal obligations, backup retention policies, and any surviving contractual obligations.


15.3 Client Warranties

Clients represent and warrant that:

  • They own the uploaded content or have the necessary rights and permissions.
  • Uploaded material does not violate any law.
  • Uploaded material does not infringe the rights of third parties.
  • Necessary permissions have been obtained where applicable.

Clients agree to indemnify MyWebSpace against claims arising from unauthorized or unlawful content submitted by them.


15.4 Removal of Content

MyWebSpace reserves the right to refuse, suspend, or remove content that:

  • Violates these Terms.
  • Is unlawful.
  • Poses security risks.
  • Infringes intellectual property rights.
  • May expose MyWebSpace to legal liability.

PART IV – INTELLECTUAL PROPERTY

16. OWNERSHIP OF THE PLATFORM

The MyWebSpace platform, including Business OS, MaxMedia, software, source code, workflows, automation logic, AI systems, databases, interfaces, layouts, dashboards, templates, prompts, documentation, branding, logos, graphics, visual designs, business methods, proprietary processes, and all related intellectual property rights are and shall remain the exclusive property of MyWebSpace or its licensors.

Nothing in these Terms transfers ownership of the Platform or any associated intellectual property to the User.


17. SOFTWARE LICENSE

Subject to compliance with these Terms and any applicable subscription or service agreement, MyWebSpace grants Users a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services solely for their internal business purposes.

Users may not:

  • Copy the software except as permitted by law.
  • Modify proprietary software.
  • Distribute software.
  • Sell or sublicense software.
  • Reverse engineer software except where applicable law expressly permits.
  • Remove copyright notices.
  • Create derivative works based upon proprietary components.

18. AI-GENERATED CONTENT

18.1 Nature of AI Outputs

Business OS and MaxMedia utilize artificial intelligence technologies to generate, analyze, organize, summarize, edit, automate, recommend, or transform information.

AI-generated outputs may include, but are not limited to:

  • Business reports
  • Business insights
  • Workflow recommendations
  • Dashboards
  • Marketing content
  • Blog articles
  • Video scripts
  • Images
  • Voice content
  • Documents
  • Presentations
  • Emails
  • Social media posts
  • Business summaries
  • Process recommendations
  • Data analysis
  • Forecasts
  • Templates
  • Automation suggestions
  • Other digital content

18.2 Accuracy

Artificial Intelligence is an assistive technology.

Although MyWebSpace continuously strives to improve the quality of AI-generated outputs, such outputs may contain inaccuracies, omissions, outdated information, unintended bias, formatting issues, or other errors.

Users acknowledge that AI outputs should not be considered infallible.

18.3 Human Verification

Users are solely responsible for reviewing, verifying, editing, approving, and validating all AI-generated outputs before relying upon them for:

  • Business decisions
  • Legal matters
  • Financial matters
  • Educational use
  • Medical purposes
  • Regulatory compliance
  • Customer communications
  • Public publication
  • Commercial distribution

MyWebSpace shall not be liable for losses arising from reliance on unverified AI-generated content.

18.4 Ownership of AI Outputs

Unless otherwise agreed in writing:

  • Client-provided content remains the property of the Client.
  • AI-generated outputs created specifically for the Client using Client data may be used by the Client in accordance with the applicable service agreement.
  • MyWebSpace retains ownership of the underlying software, AI models, prompts, workflows, automation logic, algorithms, templates, and proprietary technologies used to generate such outputs.

Nothing in these Terms transfers ownership of MyWebSpace’s intellectual property.

19. COPYRIGHT

All content available on the MyWebSpace Platform, including but not limited to:

  • Software
  • Source code
  • User interfaces
  • Website design
  • Logos
  • Graphics
  • Icons
  • Images
  • Videos
  • Animations
  • Documentation
  • Training materials
  • Workflows
  • Templates
  • Business methodologies
  • Automation systems
  • Reports
  • Databases
  • Marketing materials

is protected under applicable copyright and intellectual property laws.

No content may be copied, reproduced, distributed, modified, published, transmitted, or commercially exploited without prior written permission from MyWebSpace, except as expressly permitted by applicable law.

20. TRADEMARKS

“MyWebSpace”, “Business OS”, “MaxMedia”, related logos, taglines, product names, branding elements, and associated visual identities are trademarks or proprietary branding of MyWebSpace unless otherwise indicated.

Users shall not:

  • Register confusingly similar names.
  • Use our branding without authorization.
  • Represent themselves as partners without written approval.
  • Remove branding from licensed software where prohibited.
  • Use trademarks in a misleading manner.

21. FEEDBACK

Users may voluntarily provide:

  • Suggestions
  • Feature requests
  • Enhancement ideas
  • Improvements
  • Comments
  • Bug reports
  • Recommendations

Unless otherwise agreed in writing, Users grant MyWebSpace a perpetual, worldwide, royalty-free, irrevocable, transferable license to use, modify, implement, commercialize, or incorporate such feedback into its products and services without obligation to provide compensation or attribution.

PART V – DATA, PRIVACY & SECURITY

22. CLIENT DATA

22.1 Ownership

Clients retain ownership of all data they upload, create, or submit through the Platform.

22.2 Purpose

MyWebSpace processes Client data solely for purposes including:

  • Delivering Services
  • Business automation
  • AI processing
  • Reporting
  • Technical support
  • Security
  • System improvements
  • Backup and disaster recovery
  • Compliance with legal obligations

22.3 Data Accuracy

Clients are solely responsible for ensuring that uploaded data is accurate, complete, and legally obtained.

MyWebSpace is not responsible for inaccurate outputs resulting from incorrect or incomplete data supplied by Clients.

23. CONFIDENTIAL INFORMATION

Each party agrees to protect confidential information received from the other party.

Confidential information includes but is not limited to:

  • Business plans
  • Customer lists
  • Financial information
  • Internal processes
  • Trade secrets
  • Pricing
  • Software architecture
  • Automation workflows
  • Credentials
  • Proprietary documentation

Neither party shall disclose confidential information except:

  • with written consent;
  • where required by law;
  • to professional advisers under confidentiality obligations;
  • or as necessary for providing the Services.

These confidentiality obligations shall survive termination of the Services.

24. DATA SECURITY

MyWebSpace implements commercially reasonable administrative, technical, and organizational measures to help protect Client data from unauthorized access, disclosure, alteration, or destruction.

However, no internet-based service, cloud infrastructure, or electronic storage system can be guaranteed to be completely secure.

Accordingly, MyWebSpace does not warrant that its Services will be free from security breaches, cyberattacks, unauthorized access, or other technological risks.

Users are encouraged to:

  • Use strong passwords.
  • Enable multi-factor authentication where available.
  • Restrict account access.
  • Maintain secure devices.
  • Report suspected security incidents promptly.

25. DATA RETENTION

Client data may be retained:

  • during active Services;
  • for backup and disaster recovery purposes;
  • to comply with legal obligations;
  • to resolve disputes;
  • to enforce contractual rights.

Following termination, MyWebSpace may delete Client data after applicable retention periods unless otherwise required by law or agreed in writing.

Clients are responsible for exporting any data they wish to retain before termination of Services.

26. THIRD-PARTY SERVICES

Business OS and MaxMedia may integrate with third-party services including:

  • AI providers
  • Cloud hosting providers
  • Payment gateways
  • Communication platforms
  • Email providers
  • Video platforms
  • Social media platforms
  • CRM systems
  • Accounting software
  • Analytics providers
  • Productivity applications
  • Storage providers

Availability of integrations depends upon third-party providers and may change without notice.

26.1 Third-Party Responsibility

MyWebSpace is not responsible for:

  • third-party outages;
  • pricing changes;
  • policy changes;
  • account suspensions by third parties;
  • discontinuation of third-party services;
  • actions taken by third-party providers.

Users remain subject to the terms and privacy policies of such third-party services.

26.2 API Changes

Where Services rely on third-party APIs or integrations, functionality may be affected by changes implemented by those providers.

MyWebSpace reserves the right to modify, suspend, or replace affected features where necessary.

PART VI – PAYMENTS & COMMERCIAL TERMS

27. PRICING

27.1 General Pricing

The pricing of MyWebSpace Services shall be determined based on the applicable proposal, quotation, subscription plan, service agreement, Statement of Work (SOW), purchase order, invoice, or pricing published on the official MyWebSpace website.

Prices may vary depending upon:

  • Project complexity
  • Number of users

  • Custom development
  • Third-party integrations
  • Subscription plan
  • Support requirements
  • Enterprise requirements

27.2 Currency

Unless otherwise specified in writing, all prices are quoted in the applicable local currency and are exclusive of applicable taxes, duties, government levies, bank charges, and payment gateway fees where permitted by law.

27.3 Price Changes

MyWebSpace reserves the right to revise pricing for future purchases, renewals, subscription plans, or new services.

Price changes shall not affect invoices already paid unless otherwise agreed in writing.

28. QUOTATIONS & PROPOSALS

Any quotation, proposal, estimate, or Statement of Work issued by MyWebSpace:

  • is based on information available at the time of preparation;
  • remains valid only for the period stated therein;
  • may become void if project requirements materially change;
  • does not constitute a binding agreement until accepted by both parties.

Any work requested beyond the approved scope may require a revised quotation.

29. PAYMENTS

29.1 Payment Obligation

Clients agree to pay all applicable fees in accordance with the approved quotation, invoice, subscription plan, or agreement.

29.2 Payment Methods

Payments may be accepted through:

  • Bank transfer
  • UPI
  • Credit cards
  • Debit cards
  • Online payment gateways
  • Digital wallets
  • Other approved payment methods

  • disable account access;

  • terminate agreements;
  • recover outstanding dues through lawful means.

29.4 Taxes

Clients shall remain responsible for all applicable taxes, duties, GST, withholding taxes, or other government charges unless expressly stated otherwise.

30. SUBSCRIPTION SERVICES

Certain Business OS and MaxMedia services may be offered on a subscription basis.

Subscription plans may include:

  • Monthly plans
  • Quarterly plans
  • Annual plans
  • Enterprise plans
  • Custom plans

30.1 Automatic Renewal

Unless otherwise agreed, subscriptions may automatically renew for successive billing periods.

Users may cancel renewals in accordance with the applicable cancellation policy.

30.2 Subscription Changes

MyWebSpace may introduce:

  • new subscription plans;
  • revised features;
  • updated pricing;
  • revised usage limits;
  • additional modules.

Existing subscribers shall be notified where required by applicable law.

Exceeding plan limits may require upgrading to another plan.

31. ONE-TIME PROJECTS

Certain Services may be delivered as fixed-price or milestone-based projects.

  • Training
  • Migration
  • Integration services

Project milestones, timelines, payment schedules, and deliverables shall be governed by the applicable proposal or agreement.

Any Client request that changes the originally approved scope may be treated as a Change Request.

MyWebSpace reserves the right to:

  • revise pricing;

  • issue supplementary quotations;
  • amend project schedules.

No Change Request shall be binding unless accepted by both parties.

33. CLIENT DELAYS

Project schedules assume timely cooperation from the Client.

Delays caused by the Client may include:

  • delayed approvals;
  • incomplete information;
  • missing documents;
  • unavailable personnel;
  • delayed payments;
  • repeated scope changes;
  • delayed feedback.

Where Client delays occur, MyWebSpace reserves the right to:

  • revise project schedules;
  • reprioritize work;
  • charge additional fees where reasonable;
  • suspend the project until required information is received.

34. THIRD-PARTY COSTS

Certain implementations may require third-party products or services, including but not limited to:

  • Domain names
  • Cloud hosting
  • Email platforms
  • SMS gateways
  • AI providers
  • Video platforms
  • OCR providers
  • Payment gateways
  • APIs
  • Business software
  • Premium plugins
  • External databases

Unless expressly stated otherwise in writing, such third-party costs are the responsibility of the Client.

35. DELIVERY OF SERVICES

Delivery timelines provided by MyWebSpace are estimates unless expressly guaranteed in writing.

Project completion may be affected by:

  • Client delays
  • Third-party providers
  • Government actions
  • Internet disruptions
  • Technical issues
  • Security incidents
  • Force majeure events
  • Regulatory requirements

MyWebSpace shall make reasonable efforts to complete Services within agreed timelines but shall not be liable for delays beyond its reasonable control.

36. ACCEPTANCE OF DELIVERABLES

Upon delivery of any project, implementation, report, dashboard, workflow, software module, automation, or other deliverable, the Client shall review the deliverable within the mutually agreed review period.

If no material objections are communicated within that period, the deliverable may be deemed accepted.

Acceptance does not limit any warranty or support obligations expressly agreed in writing.

PART VII – SERVICE AVAILABILITY, SUPPORT & MAINTENANCE

37. SERVICE AVAILABILITY

MyWebSpace aims to provide reliable and high-quality Services.

However, uninterrupted availability cannot be guaranteed.

Services may occasionally be unavailable due to:

  • Scheduled maintenance
  • Emergency maintenance
  • Security updates
  • Infrastructure upgrades
  • Internet outages
  • Cloud provider issues
  • Third-party service failures
  • Cybersecurity incidents
  • Force majeure events

Temporary interruptions shall not constitute a breach of these Terms where reasonable efforts are made to restore Services.

38. MAINTENANCE

To maintain security, stability, and performance, MyWebSpace may periodically perform maintenance activities.

Where reasonably practicable, advance notice of scheduled maintenance affecting hosted services will be provided.

Emergency maintenance may be performed without prior notice when necessary to protect the Platform or its users.

  • General product guidance
  • Documentation assistance

Support does not include custom development, consulting, training, feature enhancements, or third-party issues unless specifically agreed.

39.2 Support Hours

Support availability may vary depending on:

  • Subscription plan
  • Enterprise agreement
  • Maintenance contract
  • Business hours
  • Public holidays
  • Emergency situations

Unless expressly agreed otherwise, MyWebSpace does not guarantee 24×7 technical support.

39.3 Response Times

Any response times published by MyWebSpace are service targets only and shall not constitute legally binding guarantees.

Resolution time depends upon:

  • Issue complexity
  • Third-party dependencies
  • Security investigations
  • Client cooperation
  • Availability of required information

40. SOFTWARE UPDATES

MyWebSpace may periodically release:

  • Security patches
  • Bug fixes
  • Performance improvements
  • User interface enhancements
  • AI model improvements
  • New automation features
  • Additional Business OS modules
  • MaxMedia improvements

Users acknowledge that updates may modify existing functionality to improve security, performance, usability, or regulatory compliance.

41. BETA FEATURES

From time to time, MyWebSpace may provide experimental, preview, or beta features.

Beta features are provided:

  • “As Is”
  • Without performance guarantees
  • Without guaranteed availability
  • Without guaranteed future support

Beta features may be modified, suspended, or permanently discontinued at any time.

Users acknowledge that beta features may contain defects, limitations, or incomplete functionality.

42. FEATURE MODIFICATIONS

MyWebSpace continually improves its products.

Accordingly, MyWebSpace reserves the right to:

  • Add features
  • Remove features
  • Rename products
  • Reorganize modules
  • Modify interfaces
  • Improve AI capabilities
  • Replace technologies
  • Retire obsolete functionality

Such modifications are part of the ongoing development of the Platform and shall not constitute a breach of these Terms.

PART VIII – SUSPENSION & TERMINATION

43. SUSPENSION OF SERVICES

MyWebSpace reserves the right to suspend all or part of the Services immediately if:

  • these Terms are violated;
  • payment obligations remain outstanding;
  • illegal activity is suspected;
  • fraud is suspected;
  • cybersecurity risks are detected;
  • misuse of AI systems is identified;
  • platform integrity is threatened;
  • continued access may expose MyWebSpace or other users to harm.

Suspension may remain in effect until the underlying issue is resolved.

44. TERMINATION BY CLIENT

Clients may terminate Services in accordance with:

  • their subscription plan;
  • service agreement;
  • applicable cancellation policy;
  • written agreement between the parties.

Termination does not automatically entitle the Client to any refund unless expressly provided in the Refund & Cancellation Policy or applicable agreemen

45. TERMINATION BY MYWEBSPACE

MyWebSpace may terminate Services where:

  • Terms are materially breached;
  • illegal activities occur;
  • payment defaults continue;
  • fraud is detected;
  • abuse of employees occurs;
  • repeated misuse of Services occurs;
  • legal compliance requires termination;
  • business operations cease.

Where reasonably practicable, notice may be provided before termination.

46. EFFECT OF TERMINATION

Upon termination:

  • access to Services may immediately cease;
  • subscriptions may expire;
  • licenses granted under these Terms shall terminate;
  • unpaid invoices shall become immediately payable;
  • Client data may become unavailable after applicable retention periods;
  • confidentiality obligations shall survive where applicable.

Termination shall not affect rights or obligations that accrued prior to termination.

PART IX – WARRANTIES, DISCLAIMERS & LIABILITY

47. NO WARRANTY

Except to the extent required by applicable law, the Services are provided on an “As Is” and “As Available” basis.

MyWebSpace makes no warranty that:

  • Services will be uninterrupted;
  • Services will be error-free;
  • AI outputs will always be accurate;
  • defects will always be corrected;
  • Services will meet every business requirement;
  • integrations will remain permanently available;
  • Services will be compatible with every third-party system.

To the fullest extent permitted by law, all implied warranties are excluded.

48. AI LIMITATIONS

Artificial Intelligence technologies are probabilistic in nature.

Users acknowledge that AI systems:

  • may produce inaccurate outputs;
  • may omit relevant information;
  • may generate unexpected results;
  • may require human interpretation;
  • may occasionally fail.

Business decisions should never rely solely upon AI-generated information.

49. NO PROFESSIONAL ADVICE

Unless expressly agreed in writing, MyWebSpace does not provide:

  • Legal advice
  • Financial advice
  • Investment advice
  • Tax advice
  • Medical advice
  • Psychological advice
  • Regulatory certification
  • Accounting opinions

Any information generated through Business OS or MaxMedia is for informational and operational assistance only.

Users should consult appropriately qualified professionals before making decisions requiring professional expertise.

50. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, MyWebSpace, its owners, directors, employees, contractors, affiliates, licensors, partners, and representatives shall not be liable for any:

  • indirect damages;
  • incidental damages;
  • special damages;
  • consequential damages;
  • punitive damages;
  • loss of profits;
  • loss of business opportunities;
  • loss of reputation;
  • loss of goodwill;
  • loss of anticipated savings;
  • business interruption;
  • data corruption;
  • data loss;
  • loss resulting from third-party services;
  • AI-generated inaccuracies;
  • cybersecurity incidents beyond reasonable control.

Where liability cannot legally be excluded, MyWebSpace’s total aggregate liability shall not exceed the total amount actually paid by the Client for the specific Service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to such liability, unless applicable law requires otherwise

51. INDEMNIFICATION

Users agree to indemnify, defend, and hold harmless MyWebSpace, its owners, employees, contractors, affiliates, successors, licensors, and representatives from and against any claims, liabilities, damages, losses, costs, expenses, or legal fees arising out of:

  • violation of these Terms;
  • misuse of the Services;
  • infringement of third-party rights;
  • unlawful content uploaded by the User;
  • unauthorized use of AI outputs;
  • violation of applicable laws;
  • negligent or fraudulent conduct by the User.

PART X – GENERAL LEGAL PROVISIONS

52. FORCE MAJEURE

MyWebSpace shall not be liable for any delay, interruption, failure to perform, or inability to provide the Services where such delay or failure results from events beyond its reasonable control.

Such events include, but are not limited to:

  • Earthquakes

  • Epidemics or pandemics
  • War
  • Terrorist acts

Users agree to comply with all applicable local, state, national, and international laws and regulations governing their use of the Services.

Nothing in these Terms authorizes Users to engage in activities prohibited by law.

Users remain solely responsible for ensuring that their use of Business OS, MaxMedia, AI-generated outputs, uploaded data, and business operations complies with all applicable legal requirements.


54. EXPORT CONTROLS & SANCTIONS

Users represent that they are not prohibited by applicable export control laws, trade sanctions, or other governmental restrictions from accessing or using the Services.

Users shall not use the Services in violation of any applicable export control, sanctions, or trade regulations.


55. ASSIGNMENT

Users may not assign, transfer, sublicense, delegate, or otherwise transfer any rights or obligations under these Terms without the prior written consent of MyWebSpace.

MyWebSpace may assign or transfer its rights and obligations in connection with:

  • Corporate restructuring
  • Merger
  • Acquisition
  • Sale of business
  • Asset transfer
  • Internal reorganization
  • Successor entities

56. RELATIONSHIP OF THE PARTIES

Nothing contained in these Terms shall be construed as creating:

  • A partnership
  • Joint venture
  • Employment relationship
  • Agency relationship
  • Franchise
  • Fiduciary relationship

between MyWebSpace and any User.

Each party remains an independent contracting party.


57. SEVERABILITY

If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court or competent authority, the remaining provisions shall continue in full force and effect.

The invalid provision shall be interpreted, modified, or replaced to the minimum extent necessary to make it enforceable while preserving its original intent as closely as possible.


58. WAIVER

Failure by MyWebSpace to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

Any waiver shall be effective only if made in writing and signed by an authorized representative of MyWebSpace.


59. ENTIRE AGREEMENT

constitute the complete agreement between the parties regarding the Services and supersede all prior discussions, negotiations, representations, proposals, or agreements relating to the same subject matter.


60. ELECTRONIC COMMUNICATIONS

Users consent to receive communications from MyWebSpace electronically.

Such communications may include:

  • Emails
  • Dashboard notifications
  • SMS (where applicable)
  • System alerts
  • Security notifications
  • Product updates
  • Billing notifications
  • Legal notices

Electronic communications shall satisfy any legal requirement that communications be in writing, where permitted by applicable law.


61. CHANGES TO THESE TERMS

MyWebSpace reserves the right to update, modify, amend, or replace these Terms at any time.

The parties agree to make reasonable efforts to resolve disputes through good-faith discussions and negotiations before initiating formal legal proceedings.

Where a dispute cannot be resolved amicably, either party may pursue remedies available under applicable law.

Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where necessary.


64. JURISDICTION

Subject to applicable law and any agreed dispute resolution process, the courts having jurisdiction over the location of MyWebSpace’s principal place of business shall have exclusive jurisdiction over disputes arising out of or relating to these Terms.


65. SURVIVAL

The following provisions shall survive termination or expiration of these Terms to the extent necessary to give them effect:
